The Services offered on LiveRail.com are offered by LiveRail Internet Ltd (“LiveRail”)
If you are seeking to upload material to this site, either as a video publisher or advertiser, or to engage in any activities within the site, other than passively viewing site content, you must register with LiveRail.com as part of the registration process, you will be asked to accept these Terms & Conditions, on doing so, you will be deemed to have consented to and you will be bound by these Terms & Conditions.
Any use of this site and its services constitutes your acknowledgement and acceptance of these Terms & Conditions, which takes effect the moment you first use the site.
LiveRail reserves the right at any time to change the terms, conditions and notices under which its services are offered, including but not limited to these Terms & Conditions, by posting such changes online. It is your responsibility to refer to and comply with these updated terms and conditions upon accessing the site. Your continued use of this site after changes are posted constitutes your acceptance of these terms and conditions as modified.
If these Terms & Conditions are not accepted in full, you do not have permission to access the contents of this site or to upload content to this site and you should cease using this site immediately.
If there is any conflict between these Terms & Conditions and rules and/or specific Terms & Conditions appearing on this site relating to specific material, then the latter shall prevail.
Ability to accept terms of service
If you are registering other than as an individual you confirm and accept that in doing so you are fully authorised to act on behalf of that legal entity.
If you are registering as an individual you affirm that you are either more than 18 years of age or possess legal parental or guardian consent, and are competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in these Terms & Conditions, and to abide by and comply with these Terms & Conditions. If we discover or have any reason to suspect that you have not reached 18 years of age or that you do not have legal parental or guardian consent, then we reserve the right to suspend or terminate your membership to this site immediately and without notice. If you enter credit or payment card details you confirm you are fully entitled to operate the relevant account.
Password, user name and security
When you register as a member of LiveRail, you will be asked to select a username and password.
You accept that it is your sole responsibility to maintain the confidentiality of your password and username and that you are responsible for all activity that occurs under them. LiveRail is unable to check the identity of people using the site and will not in any way be liable where your password or username are used by someone else. You agree to notify LiveRail immediately of any unauthorised use of your password or username and any other breach of security as soon as you become aware of it.
Any private information and/or data relating to your membership to LiveRail or your uploaded content that you are asked to supply or that you supply voluntarily as part of the registration process and as part of the upload/download process, will only be used by LiveRail, our subcontractors, employees, agents and advisors, including legal advisors, as part of the process of administering your membership and when making decisions whether any material you seek to upload onto the site should be accepted or rejected. In addition, we may at our discretion, disclose this information to the police, regulatory bodies or any legal advisers in connection with any alleged criminal offence or suspected breach of these Terms & Conditions, including but not limited to, any claim of infringement by you, or otherwise where required by law. Otherwise, this information will be kept private and confidential and will not be passed on to third parties without your express consent.
Indemnification
You agree to hold harmless and indemnify LiveRail, its employees, agents and representatives, from and against any third party claim arising from or in any way related to your use of the LiveRail site, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and legal fees, of every kind and nature. If LiveRail receives notice of such a claim from someone other than the member whose use of the site is in question, LiveRail will provide that member with written notice of such claim, suit or action, at the email address provided by that member at the time of registration.
Grant of licence
When you upload or post content to LiveRail, and specifically accept the option of permitting third parties to embed your content in their third party sites you grant LiveRail a licence to distribute your content to the third party site owners and users. You also acknowledge and accept that LiveRail has no control over these third party sites and absolve LiveRail of any responsibility or liability for these third party’s use of your content. LiveRail does not claim ownership of the materials you post, upload, input or submit to the LiveRail site. However, by posting, uploading, inputting, providing or submitting your content to LiveRail, you are granting LiveRail, its affiliated companies and partners, a worldwide, royalty-free, non-exclusive, sub licensable licence to use, distribute, publicly perform, publicly display, transfer, transmit, distribute and publish that content for the purposes of providing the LiveRail service. This license can be revoked at any time by removing your content from LiveRail.
In addition, when you upload or post content to the LiveRail site, you grant LiveRail a licence to distribute that content, either electronically or via other media, to users seeking to download it through the LiveRail site or for purposes of other services provided by LiveRail and to display such content on LiveRail affiliated sites. You also grant LiveRail the right to serve appropriate advertising with your content, including, but not limited to video adverts from LiveRail’s third-party advertisers or from LiveRail itself. This licence shall apply to the distribution and the storage of your content in any form, medium, or technology now known or later developed.
You may remove content you have posted on LiveRail at any time. When you delete content from LiveRail, such deleted content, while not available to the viewing public and other LiveRail users, may remain on the LiveRail server until such time as you make a specific request to LiveRail for permanent deletion of such content from the LiveRail server. Such requests must be made in writing, via email, to LiveRail customer service at the following address: support@LiveRail.com when you do remove your content, the licence described above will automatically expire.
Copyright and other intellectual property
The content on the LiveRail site, including without limitation, the text, software, graphics, photos, and videos, is owned by or licensed to LiveRail, subject to copyright and other intellectual property rights under United Kingdom and foreign trademark laws, and international conventions. LiveRail reserves all rights not expressly granted in the website and said content. Other than as expressly permitted, you may not engage in the unauthorized use, copying, or distribution of any of such content.
All copyright, trademarks, service marks and other intellectual property rights in this site (including the design, arrangement, and look and feel) and all material or content supplied as part of the site, other than user-uploaded content or advertising, shall remain at all times the property of LiveRail, its affiliates, associated companies, and/or licensors.
The names, images and logos identifying LiveRail are proprietary marks of LiveRail, its associated companies and/or affiliates. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any licence or right under any trademark or service mark of LiveRail, its associated companies and affiliates, or any third party unless expressly stated otherwise.
You shall be solely responsible for your own user-uploaded content or advertising and the consequences of posting or publishing said content. In connection with all content that you upload to LiveRail, you affirm, represent and/or warrant to LiveRail and its third-party syndication, content and advertising partners that: (i) you own, or have the necessary licences, rights, consents, and permissions to use and authorise LiveRail to use, all patent, trademark, trade secret, copyright or other proprietary rights in and to said content; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in any uploaded video to use the name or likeness of each and every such identifiable individual person in the manner contemplated by the website and these Terms & Conditions.
All of the content hosted on the LiveRail site is protected by our copyrights, the copyrights of our video publishers or advertisers and/or the copyrights of the user to whom such materials belong. Materials uploaded to LiveRail may be subject to limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
As a user-uploaded content or advertising publisher or advertiser or as a passive user of the LiveRail site, you may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any of the content on the LiveRail site in whole or in part outside of the specific usage rights granted to you by each license. Nor may you attempt to do so.
If you download or print a copy of any LiveRail content, advertiser or publisheruser-uploaded content or advertising for personal use, you must retain all copyright and other proprietary notices contained therein. You may not otherwise use, reproduce, display, publicly perform, or distribute such content in any way for any public or commercial purpose unless such use is expressly granted by a particular license.
If you believe that any of your intellectual property rights have been violated (e.g., your copyright or trademark infringed) by material hosted on LiveRail, you will need to provide, at a minimum, the following information immediately:
- the nature of your complaint and the video ID code (found within the embed code used by the infringing website to pull the offending video from LiveRail’s servers);
- in the case of a copyright/trademark dispute, identification of the copyrighted/trademarked work that you claim has been infringed and a statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright/trademark owner, its agent, or the law;
- your name, address, telephone number, and email address;
- a statement by you that the above information is accurate and, in the case of a copyright/trademark dispute, that you are the owner of the copyright/trademark involved or are authorized to act on behalf of that owner; and
- your electronic or physical signature.
It is our policy to respond to notices of alleged infringement that comply with relevant legislation including the US “Digital Millennium Copyright Act”.

Prohibited content
Our goal is to permit the easy provision of the LiveRail video platform while maintaining high standards of respect and decency. In order to attain this goal, and in addition to the other content and/or action restrictions set forth in these Terms & Conditions and elsewhere on the LiveRail website, the following content is prohibited on LiveRail:
- Content involving nudity or of a sexual nature, including but not limited to content of a pornographic nature and particularly nudity or partial nudity of children of any age.
- Content with extreme violence, including but not limited to acts of murder, rape or any other serious or violent crimes.
- Content that exploits children or minors or that discloses any personally identifying information beyond a first name about persons under the age of 18.
- Content that disseminates personal information about another individual for malevolent purposes, including libel, slander, defamation or harassment.
- Content that is or may be deemed to be grossly offensive to the online community, including but not limited to, blatant expressions of bigotry, prejudice, racism, hatred and profanity.
- Content promoting or providing instructional information about illegal activities.
- Content depicting or promoting cruelty to animals.
- Copyrighted content that is used without the express permission of the owner..
- Content intended to abuse, harass, stalk, threaten or otherwise violate the legal rights of others (such as any rights of privacy and publicity).
- Content that contains software or other material protected by intellectual property laws unless you own or control the rights thereto or have secured all necessary consents and/or licenses.
- Content or other material that contains viruses, corrupted files, or any other similar software or programs that may damage the operation of LiveRails server or another users computer.
- Content that violates any applicable laws or regulations not specifically referenced herein.
As a condition of your use of the LiveRail site, you warrant that you will not use the services offered on the site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the LiveRail site in any manner which could damage, disable, overburden, or impair the LiveRail site or interfere with any other party’s use and enjoyment of the LiveRail site. You may not obtain or attempt to obtain any materials or information, including but not limited to, software and other LiveRail proprietary materials, through any means not intentionally made available or provided for through the LiveRail site.
LiveRail has no obligation to monitor the content which has been uploaded to the website for compliance with the foregoing. However, LiveRail reserves the right to review materials uploaded to LiveRail and to remove any materials in its sole discretion for any reason or no reason, at any time, with or without notice to you. LiveRail reserves the right to terminate your access to any or all of the services offered by LiveRail at any time without notice for any reason whatsoever.
LiveRail does not control or endorse the content, messages, information or advertisements found in any user-uploaded content or advertising and, therefore, LiveRail specifically disclaims any liability with regard to such user-uploaded content or advertising any actions resulting from such content.
You agree to use the services provided by LiveRail only for their intended, lawful purposes and in accordance with all applicable laws. You agree not to use LiveRail in any manner that interferes with its normal operation or with any other users use and enjoyment thereof. You further agree that you will not access LiveRail by any means except through the interface provided by LiveRail and that you will not access LiveRail from any territory where its contents may be illegal.
LiveRail does not endorse any user-uploaded content or advertising or any opinion, recommendation or advice expressed therein, and LiveRail expressly disclaims any and all liability in connection with user-uploaded content or advertising. If notified by a user or a third party of uploaded material that allegedly does not conform to these Terms & Conditions, LiveRail may investigate the allegation and determine in good faith and in its sole discretion whether to remove the user-uploaded content or advertising.

LiveRail may contain links to other websites (linked sites). The linked sites are not under the control of LiveRail and LiveRail is not responsible for the contents of any linked site, including without limitation, any link contained in a linked site, or any changes or updates to a linked site. LiveRail is not responsible for web casting or any other form of transmission received from any linked site. LiveRail is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by LiveRail or any association with its operators.
If you decide to visit any linked site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. LiveRail does not endorse and is not responsible or liable for any content, advertising, products, services or information on, or available from, third party websites or material. LiveRail is not responsible for any damage, loss or offense caused by, or in connection with, any content, advertising, products, services or information available on such websites or material. Any terms, conditions, warranties or representations associated with such dealings are solely between you and the relevant provider of the service. Prohibited Uses
You shall not, and shall not authorize or encourage any third party to:
- Directly or indirectly generate queries, Referral Events, or impressions of or clicks on any Ad, Ad Preview or Ad Video through any automated, deceptive, fraudulent or other invalid means, including but not limited to through repeated manual clicks, the use of robots or other automated query tools and/or computer generated search requests, and/or the unauthorized use of other view generation services and/or software;
- Edit, modify, filter or change the display or order of the information contained in any Ad, Link, Embed Code, Ad Unit, or Ad Preview, or remove, obscure or minimize any Ad, Ad Preview or Ad Video in any way;
- Frame, minimize, remove or otherwise inhibit the full and complete display of any Video ad launched by an end user after clicking on any part of an Ad Preview
- Post/Embed LiveRail hosted videos on any Web page or any Web site that contains any pornographic, hate-related, violent, or illegal content, or content that may in any other way violate these terms of service.
- Act in any way that violates any Program Policies posted on the LiveRail Web Site, as may be revised from time to time, or any other agreement between You and LiveRail, or engage in any action or practice that reflects poorly on LiveRail or otherwise disparages or devalues LiveRail reputation or goodwill.
You acknowledge that any attempted participation or violation of any of the foregoing is a material breach of this Agreement and that we may pursue any and all applicable legal and equitable remedies against You, including an immediate suspension of Your account or termination of this Agreement, and the pursuit of all available civil or criminal remedies
Warranty disclaimer
Please note that the content, advertisements, information, software, products and services included in, or available through, the LiveRail website are continually being updated and upgraded. LiveRail does not represent that they are reliable, accurate, complete, or otherwise valid. Accordingly, the site is provided as is with no warranty of any kind and you use the service at your own risk. LiveRail expressly disclaims any warranty, express or implied, regarding the site or its content, including but not limited to, any implied warranty of merchantability, warranty of satisfactory purpose, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
The information and other materials included on this site may contain inaccuracies and typographical errors. Limitation of liability

If you are dissatisfied with any portion of the LiveRail website, or with any of these Terms & Conditions, your sole and exclusive remedy is to discontinue using the LiveRail website and services provided therein.
Advertiser Fees, pricing and reporting.
If required, advertisers shall, within the LiveRail online advertising system specify a maximum amount of money it wishes to spend on ads on a daily (24hr) basis. By doing so, advertisers are accepting liability for advertising fees up to this amount incurred in the course of running their adverts on the LiveRail network. This maximum spend may be amended at any time, and will take effect at the start of the next 24 hour period. Your ad campaign may be paused/terminated at any time with immediate effect.
All monetary sums displayed within LiveRail’s system are exclusive of VAT unless stated otherwise. Advertisers shall pay the sums (including (if applicable) VAT and any other applicable taxes or charges imposed by any government entity) in the manner dictated by the method of payment agreed between the parties.
Unless expressly provided, no invoices shall be sent, and LiveRail will run regular billing cycles to collect outstanding fees on your account from the credit card provided in your account. It is the advertiser’s responsibility to ensure that card details are kept up to date and are correct. If payment is not made when due, LiveRail may charge interest at the rate of 5% per annum above the prevailing base rate of Barclays Bank PLC from the due date until the date of actual payment, whether before or after judgment.
LiveRail may change its minimum pricing at any time. Charges shall be calculated solely based on records maintained by LiveRail. LiveRail shall provide you with password-protected access to online reporting information so that you may monitor your campaign.
Refunds (if any) are at the discretion of LiveRail and only in the form of advertising credit for LiveRail Properties. In the event that you believe your are eligible for a refund, for whatever reason, please email support@liverail.com
LiveRail makes no claims as to the effectiveness of advertising on the LiveRail network, and does not guarantee results or return on investment.
Publisher Earnings and Payments
Publishers will be paid a share of the advertising revenue generated by LiveRail in respect of adverts clicked on and watched by viewers watching that publisher’s videos, whether they be embedded on the publisher’s own website, or re-embedded by a third party.
LiveRail does not publish the percentage share that publishers receive and reserves the right to change this figure up or down without notice, or to give preferential rates to selected publishers should it wish.
LiveRail reserves the right to display “House Ads” for itself, without fee, only in the event that no suitable paying advertisement is available to display. An “Ads By LiveRail” or similar tagline/logo may always appear under, next to, over or otherwise associated with any video content streamed from LiveRail’s servers.
In the event that we believe a publisher does not hold full copyright over content from which they have generated ad-revenue, LiveRail reserves the right to withhold such revenue until such point when the publisher is able to prove their ownership of the content in question.
In the event that LiveRail believes (for any reason whatsoever) that a publisher has benefited from fraudulent use of the LiveRail system (for example through the act of “click-fraud” to artificially inflate their advertising views/earnings) or any other technique that is not in keeping with the spirit of the service, LiveRail reserves the right to withhold payment of the publisher’s ad-revenue share.
Law and jurisdiction
These Terms & Conditions, for all purposes, shall be governed by and construed in accordance with English law. The Parties agree to submit to the exclusive jurisdiction of the English courts as regards any claim or matter arising under these Terms & Conditions.
Any cause of action you may have with respect to your use of this site must be commenced within one (1) year after the claim or cause of action arises.
LiveRail makes no representation that materials on this site are appropriate or available for use at any particular location and access to them from territories where their contents are illegal is strictly prohibited. When you access this site you are responsible for compliance with all local laws in your jurisdiction.
Miscellaneous
If any of these Terms & Conditions or any other policies posted by LiveRail management on the LiveRail website should be determined to be illegal, invalid or otherwise unenforceable by reason of the law of any jurisdiction in which these Terms & Conditions are intended to be effective, then to the extent permissible, such term of use or policy, or portion thereof, shall be severed and deleted from the remaining terms, conditions and policies, and the remaining terms, conditions and policies shall survive and continue to be binding and enforceable. The failure of LiveRail to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision.

We do not exercise control over the sites displayed as links from within our various services, including advertisers.
